About the Licensing Program

The Zora Neale Hurston Trust is dedicated to preserving and promoting the legacy of Zora Neale Hurston, one of the most influential voices of the Harlem Renaissance and a trailblazing African American author, anthropologist, and folklorist. Our licensing program offers organizations, institutions, and individuals the opportunity to license a wide range of Zora’s intellectual property, including her written works, likeness, and associated materials for educational, commercial, and cultural purposes.

By granting carefully considered licenses, the Zora Neale Hurston Trust aims to uphold the integrity of her work while enabling broader access and engagement to her enduring legacy.

The Zora Neale Hurston Trust Licensing Program provides licenses for rights to use Zora Neale Hurston’s image, likeness, and name in connection with merchandise, media, events, organizations, and other promotional activities.

Program Guidelines for Potential Zora Neale Hurston Trust Licensees:

Thank you for your interest in becoming a licensee of the Zora Neale Hurston Trust (“ZNHT”). ZNHT is the owner of trademarks and logos, including but not limited to, the trademarks listed in form below as “ZNHT Marks”.

The licensing process requires that you submit the below application containing information about your company for review by ZNHT. Your submission is the first stage of a licensing process that may involve several stages. If the information you submit on your company matches the criteria for the ZNHT licensing program established by ZNHT (which criteria may change from time to time), we will contact you about the possibility of your licensing the ZNHT Marks; any such license would be the subject of a separate written agreement between you and ZNHT. Neither our request for information nor your reply to the request for information constitutes an offer to contract or a solicitation by ZNHT to offer a contract to your company.

Instructions:

Complete the below Prospective Licensee Application.
ZNHT will reply in writing if your company has been selected to become an authorized licensee of ZNHT. Please allow approximately four (4)- six (6) weeks for ZNHT to review your Application, and provide a response.

If pre-selected as a ZNHT licensee:

You must produce quality control samples for ZNHT approval. Two (2) Physical product samples for physical products must be mailed to the ZNHT at the provided address. Digital product samples should be emailed to rae@zoranealehurston.com.
Have the ability to pay 100% of the Advanced Royalty upon execution of a License Agreement.
Maintain from a licensed and admitted insurance carrier a Comprehensive Commercial General Liability policy in an amount of Two Million Dollars ($2,000,000.00) per occurrence and four Million Dollars ($4,000,000.00) in the aggregate.
Be in compliance with all federal, state and local laws and, where applicable, international rules and regulations, including all applicable labor laws.
The terms and privileges of the License Agreement will depend upon the License Tier selected by you and other responses to this Prospective Licensee Application.

Please note that the ZNHT does not have any obligation to grant you a license by reviewing your completed Prospective Licensee Information Application.

For Permissions and Rights:

The ZNHT Licensing Program is not for the use of Zora Neale Hurston’s literary works. Permissions and rights from the ZNHT is required for the following:

Literary Works: Rights to publish, distribute, and adapt Zora Neale Hurston’s literary works, including her novels, short stories, essays, and plays.
Adaptations and Derivatives: Permissions for creating adaptations of Hurston’s works, such as films, theater productions, audiobooks, and other derivative works.
Educational Use Licenses for academic institutions, educators, and cultural organizations to incorporate Hurston’s works into curricula, exhibitions, and public programs.
Archival Material: Access to and use of Hurston’s letters, manuscripts, photographs, and other archival materials for research, publication, or exhibition.

ZNHT LICENSE TIER DESCRIPTIONS

The terms and rights of the License Agreement shall depend upon the particular Tier selected by Prospective Licensee and approved by ZNHT. Please review the ZNHT LICENSE TIER DESCRIPTIONS below to identify the best choice for your interests.

1. Platinum Tier

a. Term: Two (2) year initial Term.

b. Territory: United States.

c. Advanced Royalty: $3000.00.

d. Royalty Rate: 7% of gross sales exceeding Advanced Royalty.

e. Licensee Rights:

Right to sell Proposed Goods and Services under the Proposed Marks;
Discounted pricing on ZNHT merchandise for resale by Prospective Licensee;
Once per calendar year, ZNHT shall make an Instagram post promoting Prospective Licensee’s Proposed Goods and Services, comprising graphics and/or video provided by Prospective Licensee;
Once per calendar year, ZNHT shall make a post on ZNHT’s website promoting Prospective Licensee’s Proposed Goods and Services, comprising graphics and/or video provided by Prospective Licensee;
Right to apply for grants and funding in conjunction with the sale of the Proposed Goods and Services; and
Once during the Term of the License Agreement and upon Licensee’s Request, ZNHT’s representative shall attend Prospective Licensee’s venue where the Proposed Goods and Services are sold. Licensee shall pay all travel and lodging costs of ZNHT’s representative.

2. Gold Tier

a. Term: Two (2) year initial Term.

b. Territory: United States.

c. Advanced Royalty: $2000.00.

d. Royalty Rate: 8% of gross sales exceeding Advanced Royalty.

e. Licensee Rights:

Right to sell Proposed Goods and Services under the Proposed Marks;
Discounted pricing on ZNHT merchandise for resale by Prospective Licensee;
Once per calendar year, ZNHT shall make an Instagram post promoting Prospective Licensee’s Proposed Goods and Services, comprising graphics and/or video provided by Prospective Licensee; and
Once per calendar year, ZNHT shall make a post on ZNHT’s website promoting Prospective Licensee’s Proposed Goods and Services, comprising graphics and/or video provided by Prospective Licensee;
Right to apply for grants and funding in conjunction with the sale of the Proposed Goods and Services.

3. Silver Tier

a. Term: Two (2) year initial Term.

b. Territory: United States.

c. Advanced Royalty: $1500.00.

d. Royalty Rate: 9% of gross sales exceeding Advanced Royalty.

e. Licensee Rights:

Right to sell Proposed Goods and Services under the Proposed Marks;
Discounted pricing on ZNHT merchandise for resale by Prospective Licensee; and
Once per calendar year, ZNHT shall make an Instagram post promoting Prospective Licensee’s Proposed Goods and Services, comprising graphics and/or video provided by Prospective Licensee.

4. Bronze Tier

a. Term: Two (2) year initial Term.

b. Territory: United States.

c. Advanced Royalty: $1000.00.

d. Royalty Rate: 9% of gross sales exceeding Advanced Royalty.

e. Licensee Rights:

Right to sell Proposed Services under the Proposed Marks; but no right to independently manufacture and/or sell Goods under the Proposed Marks;
Discounted pricing on ZNHT merchandise for resale by Prospective Licensee.

5. Community Events Tier

a. Term: Single Event License

b. Term Limitation: This Tier is limited to first time ZNHT Licensees.

c. Territory: United States.

d. Advanced Royalty: $250.00.

e. Licensee Rights:

Right to conduct a single Event under the Proposed Marks; but no right to independently manufacture and/or sell Goods under the Proposed Marks; and
Discounted pricing on ZNHT merchandise for resale by Prospective Licensee at a single Event.

Prospective Licensee hereby affirms that the answers to the above questions are true and complete. Prospective Licensee understands that any license that may be granted to Prospective Licensee by ZNHT will be subject to immediate termination, without the return of any amounts paid or the abatement of amounts due, in the event ZNHT finds that Prospective Licensee has supplied false, misleading, fraudulent or incomplete information in this form.

Prospective Licensee hereby acknowledges the proprietary nature of the logos and trademarks of ZNHT, and further acknowledges that all right, title and interest to such names and logos belong to ZNHT. Prospective Licensee agrees that it will make no use of any of the Marks without prior written consent from ZNHT.

Prospective Licensee hereby acknowledges that any license will be reviewed and accepted or rejected in ZNHT’s sole discretion.

Prospective Licensee hereby acknowledges and agrees that ZNHT at all times has many products and projects in various stages of development, and that the results of these endeavors may be similar or identical to Prospective Licensee’s own products or projects. If the Prospective Licensee submits any creative suggestions, ideas, notes, drawings, concepts, designs, or other information (collectively “Unsolicited Submissions”), the Prospective Licensee hereby assigns to ZNHT all rights of every nature and description, in perpetuity, throughout the world, in such Unsolicited Submissions. The Unsolicited Submissions shall be deemed, and shall remain, the sole property of ZNHT. None of the Unsolicited Submissions shall be subject to any obligation of confidence on ZNHT’s part and ZNHT shall not be liable for any use or disclosure of any Unsolicited Submissions. Without limitation of the foregoing, ZNHT shall exclusively own all now-known and hereafter existing rights to the Unsolicited Submissions of every kind and nature, throughout the world, and shall be entitled to unrestricted use of the Unsolicited Submissions for any purpose whatsoever, commercial or otherwise, without compensation of any kind to the provider of the Unsolicited Submissions.
